Confirmation Statement: A Quick Guide

What is it?

Every UK limited company must file a Confirmation Statement (CS01) at Companies House at least once every 12 months. It confirms that the public record is up to date.

When to file

Within 14 days of the end of your review period (usually a year from the last statement or incorporation).

What it confirms

  • Registered office address
  • Directors and PSCs (people with significant control)
  • Registered email address (required since March 2024)
  • Statement of confirmation that the company is carrying on lawful business (since March 2024)
  • Shareholders (every 3 years; annually if changed)
  • SIC codes

What it costs

  • £34 online via Companies House
  • £62 by post

Penalties

Failure to file is a criminal offence by the directors. Companies House can prosecute and may strike the company off the register. There is no late-filing penalty for the CS itself (unlike accounts), but striking-off proceedings are common.

Things to check before filing

  • Is your registered office still valid (and able to receive mail)?
  • Have any PSC details changed (over 25% ownership / voting rights)?
  • Are SIC codes still accurate?
